These Terms of Service constitute a legally binding agreement (the “Agreement”) between you and Biddi Rides Inc., including its affiliates, officers, and representatives (collectively, “Biddi Rides,” “we,” “us,” or “our”), governing your use of the Biddi Rides app, website, and platform (collectively, the “Biddi Rides Platform”).
By using or accessing the Biddi Rides Platform, you acknowledge that you understand and accept all terms of this Agreement, including dispute resolution and arbitration provisions (see Section 17). If you do not agree, you may not use the platform.
Biddi Platform
The Biddi Rides platform provides a marketplace where users seeking transportation (“Riders”) can be matched with drivers offering transportation services (“Drivers”). These transportation services provided by Drivers are referred to as “Rideshare Services.” Riders and Drivers, collectively referred to as “Users,” can be matched based on location, pickup time, preferences, and other factors.
A separate agreement is formed between Riders and Drivers when a ride is accepted. In some markets, Riders may also have options to rent bikes, scooters, or cars through the Biddi Rides platform, operated by Biddi or third parties. Additional terms may apply depending on the specific services available in your location.
If you do not agree to the applicable terms, you may not use Biddi Rides’ services in those markets. In the event of conflicting agreements, the main Terms of Service will govern unless explicitly stated otherwise.
Modification to the Agreement
Biddi Rides reserves the right to modify the terms of this Agreement, and such changes will become binding upon your acceptance of the updated Agreement. Modifications to any information referenced within this Agreement, including hyperlinks, will take effect upon posting. Continued use of the Biddi Rides platform after these changes constitutes your acceptance. Unless material changes are made to the arbitration terms, modifications to this Agreement will not create a renewed opportunity to opt out of arbitration, if applicable.
Eligibility
The Biddi Rides platform may only be used by individuals who have the legal right and capacity to enter into this Agreement and meet all terms and conditions herein. It is not available to Users whose accounts have been deactivated, temporarily or permanently. You are the sole authorized user of your account, and you may not allow others to use it. Each User must create a single account, and Biddi Rides reserves the right to deactivate duplicate accounts.
By becoming a User, you represent that you are at least 18 years old. Parents or legal guardians of minors aged 16 or 17 may create a User account for the minor, provided: (a) the minor only uses Biddi Rides services when expressly permitted, (b) the parent or guardian deems the services appropriate, (c) the minor follows all applicable safety instructions, and (d) the minor is not permitted to accept rides without being accompanied by a parent or authorized guardian. No unaccompanied User under 18 is allowed to ride in autonomous vehicles.
By creating a User account for a minor, you consent to the Agreement on their behalf and assume full responsibility for their use of the Biddi Rides platform. You also represent that you are authorized to enter into this Agreement on behalf of all other legal guardians of the minor. You will be responsible for any breach of this Agreement or misrepresentation.
Charges
As a Biddi User, you understand that requesting or using Rideshare Services may result in charges (“Charges”) to you and/or an organization if applicable. Charges may include Fares and additional applicable fees such as tolls, surcharges, taxes, and optional tips to the Driver. Biddi reserves the right to determine and adjust pricing, which may fluctuate based on factors like ride demand, vehicle type, or distance. Pricing can vary depending on the type of service requested (e.g., standard, shared, premium) and will be quoted within the Biddi app or on the Biddi platform before the trip starts.
Types of Charges:
- Quoted Fares: When you request a ride, Biddi will provide an estimated fare based on factors like distance, time, and traffic. The quoted fare is subject to change if your final destination, route, or ride conditions differ from your initial request. Biddi does not guarantee that the quoted fare will be the final cost. If the trip parameters change significantly, you may be charged a variable fare.
- Variable Fares: Variable fares consist of a base charge and incremental costs based on the time and distance of the ride. In some cases, a minimum fare may apply for particularly short rides. The fare calculation is typically based on GPS data from your driver’s device. However, in the event of GPS signal loss, alternative data may be used to estimate the time and distance traveled.
- Additional Fees and Surcharges:
- Service Fee: A service fee may be added to each ride, which covers operational costs.
- Prime Time: During periods of high demand, such as rush hours or special events, charges may increase substantially. Biddi may incorporate these Prime Time adjustments into your quoted fare.
- Cancellation Fee: If you cancel a ride after it has been confirmed, or if you fail to show up for your ride, a cancellation fee may be applied to your account.
- Damage Fee: If the driver reports damage to their vehicle caused by you, you agree to pay a damage fee of up to $250, depending on the extent of the damage as determined by Biddi. Biddi reserves the right to request documentation to verify the damages before charging the fee.
- Abuse Fee: In cases where users are reported for misuse or abuse of the Biddi platform, an abuse fee of up to $250 may be applied.
- Tolls and Surcharges: Some rides may incur toll charges, which will be reflected in the final price. Other surcharges, such as airport fees or local fees, may also apply.
- Wait Time: If the driver waits for you beyond a specified time at the pickup location, wait time fees may be applied.
- Extra Stops or Route Changes: If you add extra stops or alter the route after the ride begins, additional charges may be incurred.
Payment Processing and Refunds:
All charges are facilitated by a third-party payment processor. Biddi may change payment processors without notifying you. Once your payment is processed, it satisfies your payment obligation for the service. In the event that your primary payment method fails or is invalid, Biddi reserves the right to charge any other payment methods linked to your account. Charges are non-refundable unless required by law or at Biddi’s sole discretion. If you believe there was an error with your payment, you may contact Biddi support, but refunds are not guaranteed.
Coupons and Promotions:
From time to time, Biddi may offer coupons, discounts, or other promotional credits (“Coupons”) that can be applied toward your ride fare. Coupons are only valid for use on the Biddi platform and are not redeemable for cash. If the total cost of your ride exceeds the value of your coupon, the difference will be charged to your selected payment method. Additional restrictions or expiration dates may apply to coupons.
Restricted Activities
When using the Biddi platform and services, you agree not to engage in any of the following prohibited activities:
- Impersonation: You may not impersonate any person, entity, or use false identity information.
- Harassment and Threats: Harassing, threatening, or stalking others, and carrying weapons is strictly prohibited.
- Legal Compliance: Users must comply with all laws, regulations, and ordinances when using Biddi services.
- Platform Disruption: You may not interfere with, disrupt, or hack the Biddi platform, servers, or connected networks.
- Fraudulent or Abusive Content: Posting fraudulent, abusive, obscene, or illegal content is forbidden.
- Infringement of Rights: You may not infringe on intellectual property, privacy rights, or other third-party rights.
- Malicious Code: You are not allowed to upload or transmit viruses, malware, or any malicious code intended to damage or interrupt Biddi’s services.
- Tampering with Information: Modifying, reverse-engineering, or tampering with any part of the platform or disguising information origins is prohibited.
- Automated Tools: The use of bots, spiders, or any automated systems to scrape or data-mine the platform is not allowed.
- Account Sharing or Selling: Transferring, selling, or lending your account, password, or User ID to another party is prohibited.
- Discrimination and Harassment: Discriminating or harassing anyone based on race, gender, sexual orientation, religion, disability, or other protected categories is not tolerated.
- Abuse of Services: You must not misuse Biddi services or violate eligibility requirements, such as the inappropriate use of referral programs.
- Misconduct: Any form of sexual harassment, assault, or misconduct is strictly prohibited.
- Circumvention: Attempting to circumvent any Biddi security measures or policies is not permitted.
If you suspect unauthorized activity on your account or believe there has been a breach of security, notify Biddi immediately.
Term and Termination
This Agreement becomes effective upon your acceptance and may be terminated: (a) by the User, without cause, with seven (7) days’ written notice to Biddi, or (b) by either party immediately, without notice, if the other party commits a material breach, including any violations of key provisions. Biddi may also terminate or deactivate your account if you are no longer eligible to use the platform, fail to meet service standards, or violate safety protocols. In such cases, you will be notified and given an opportunity to resolve the issue. Certain sections, including intellectual property, liability, and confidentiality, will survive the termination of this Agreement.
Dispute Resolution and Arbitration Agreement
1. Scope of the Agreement
This Dispute Resolution and Arbitration Agreement (“Agreement”) applies to any and all disputes between (“Biddi”), its users, drivers, employees, and any other parties (collectively, “Parties”). By using Biddi’s services, you agree that any disputes arising from or related to the services provided will be resolved in accordance with this Agreement.
2. Informal Dispute Resolution
Before initiating formal arbitration, the Parties agree to first attempt to resolve any disputes informally by notifying each other of the issue and engaging in good faith discussions to resolve it.
- A party who wishes to raise a dispute must notify the other party in writing, detailing the nature of the dispute and any proposed resolutions.
- Both parties will have 30 days from the date of notification to resolve the dispute informally.
3. Binding Arbitration
If the dispute cannot be resolved informally, the dispute shall be resolved through binding arbitration in accordance with this section:
- Arbitration Forum: The arbitration will be administered by biddi under its rules and procedures.
- Arbitration Location: The arbitration will take place in Chicago, IL and all moroccan cities, or virtually if both parties agree.
- Governing Law: The arbitration will be governed by the laws of [Jurisdiction] without regard to conflict of law principles.
- Arbitrator’s Decision: The arbitrator’s decision will be final and binding on all parties, and judgment may be entered in any court having jurisdiction over the matter.
4. Class Action Waiver
All disputes must be arbitrated on an individual basis. Parties waive any right to pursue or participate in a class action, collective action, or any other representative action.
5. Costs of Arbitration
The costs of arbitration, including the arbitrator’s fees, shall be borne equally by the parties, unless the arbitrator decides otherwise. However, each party will bear its own legal fees.
6. Severability
If any provision of this Agreement is found to be unenforceable or invalid, the remainder of the Agreement shall remain in effect.
7. Opt-Out Clause
You may opt-out of this Agreement by providing written notice to Biddi within 30 days of first accepting the terms of service.
Relationship with Biddi
As a Driver on the Biddi platform, you acknowledge and agree that you and Biddi are in a direct business relationship, and the relationship between the parties under this Agreement is solely that of independent contracting parties. You and Biddi expressly agree that (1) this is not an employment agreement and does not create an employment relationship between you and Biddi; and (2) no joint venture, franchisor-franchisee, partnership, or agency relationship is intended or created by this Agreement. You have no authority to bind Biddi, and you undertake not to hold yourself out as an employee, agent, or authorized representative of Biddi.
Biddi does not, and shall not be deemed to, direct or control you generally or in your performance under this Agreement, including in connection with your provision of rideshare services, your actions or omissions, or your operation and maintenance of your vehicle. You retain the sole right to determine when, where, and for how long you will utilize the Biddi platform. Biddi does not, and shall not be deemed to, unilaterally prescribe specific dates, times of day, or any minimum number of hours for you to use the platform. You retain the option to accept, decline, or ignore a rider’s request for rideshare services via the Biddi platform, or to cancel an accepted request, subject to Biddi’s current cancellation policies. Biddi does not, and shall not be deemed to, require you to accept any specific request for rideshare services as a condition of maintaining access to the platform.
With the exception of any signage required by law or permit/license rules, Biddi shall have no right to require you to: (a) display Biddi’s name, logo, or colors on your vehicle(s); or (b) wear a uniform or any other clothing displaying Biddi’s name, logo, or colors. You acknowledge and agree that you have complete discretion to provide rideshare services or engage in any other business or employment activities, including providing similar services to other companies. Biddi does not, and shall not be deemed to, restrict you from engaging in any such activity.
Third-Party Services
In addition to connecting riders with drivers, the Biddi platform may enable users to access or provide services from other third parties. For example, users may be able to use the Biddi platform to plan and reserve rides on public transportation, take rides in autonomous vehicles provided by third parties, rent vehicles, bikes, scooters, or similar personal transportation devices, receive roadside assistance, or obtain financial, vehicle repair, insurance, or other services offered by third parties (collectively, the “Third-Party Services”). This Agreement between you and Biddi governs your use of the Biddi platform in connection with these Third-Party Services.
You understand that the Third-Party Services may also be subject to the terms and pricing of the third-party provider (collectively, the “Third-Party Terms”), which will govern your relationship with such third-party provider as applicable. You agree that Biddi is not responsible for, and may not be held liable for, the Third-Party Services or the actions or omissions of the third-party provider. Biddi does not investigate, monitor, or check the accuracy, appropriateness, or completeness of Third-Party Services accessed through the Biddi platform, and Biddi is not responsible for any Third-Party Services you access via the platform.
In the event of any conflict between the Third-Party Terms and this Agreement, the terms of this Agreement shall control with respect to Biddi and your agreements with Biddi.
